§ 1 Provider and Scope

These General Terms and Conditions (hereinafter ‘GTC’) apply to all contracts concluded via the website pepper-and-salt.com between PPR & SALT LTD, Katsantonaion 49, 4154 Kato Polemidia, Limassol, Cyprus (hereinafter ‘Provider’) and the respective user or buyer (hereinafter ‘Customer’).

By placing an order or using the products and services offered, the Customer accepts these GTC.

§ 2 Offers and Conclusion of Contract

(1) The presentation of products and services on the website does not constitute a legally binding offer, but an invitation to make an offer (invitatio ad offerendum).

(2) By submitting an order via the checkout process (e.g. via Digistore24), the Customer makes a binding offer to conclude a contract. The contract is concluded upon the Provider’s order confirmation, or – where the purchase is processed via a third-party provider (e.g. Digistore24) – in accordance with the terms of that third-party provider.

(3) The Provider reserves the right to decline orders without stating reasons.

§ 3 Products and Service Description

(1) The Provider offers the following digital products and services via the website in particular:

  • Digital workbooks and self-reflection products (e.g. the Annual Self-Reflection Workbook)
  • Other digital content and information products

(2) The exact description of the products and services offered is set out in the respective product description on the website at the time the contract is concluded.

(3) For digital products, delivery is generally made by download link or access to a protected area. The Provider ensures availability of the download link or access for a reasonable period after purchase.

§ 4 Prices and Payment Processing

(1) The prices stated on the website are final prices. VAT is shown where required by law.

(2) Payment processing for products offered via the website is handled by Digistore24 GmbH, St. Martinistrasse 3, 38100 Braunschweig, Germany. The payment and business terms of Digistore24 apply in addition.

(3) The Provider may offer time-limited discount promotions or promotional codes. There is no entitlement to specific discounts or permanent availability of promotional offers.

§ 5 Right of Withdrawal

Right of Withdrawal Notice

Consumers have a statutory right of withdrawal for contracts concluded away from business premises and for distance contracts. A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed.

The withdrawal period is fourteen (14) days from the date the contract is concluded.

To exercise the right of withdrawal, the Customer must notify the Provider by means of an unambiguous declaration (e.g. by email):

Consequences of Withdrawal

If the Customer withdraws from this contract, the Provider must repay all payments received without delay and no later than fourteen (14) days from receipt of the withdrawal notification. The same means of payment used in the original transaction will be used for the refund. Where the purchase was made via Digistore24, processing may follow Digistore24’s procedures.

Expiry of the Right of Withdrawal for Digital Content

The right of withdrawal expires for contracts for digital content not supplied on a physical medium if the Provider has begun performance after the Customer:

  1. has expressly consented to the Provider beginning performance before the withdrawal period expires,
  2. has confirmed that they thereby lose their right of withdrawal, and
  3. has received a contract confirmation containing the content of the contract and the above declarations.

§ 6 Right of Use for Digital Content

(1) Upon purchase of a digital product via the website, the Customer receives a simple, non-exclusive, non-transferable and non-sublicensable right of use for personal, non-commercial purposes.

(2) Reproduction, distribution, public disclosure or commercial exploitation of the purchased digital content is not permitted without the Provider’s express written consent.

(3) The Provider retains all copyright and other intellectual property rights in the digital content.

§ 7 Warranty and Liability

(1) The statutory warranty rights apply.

(2) The Provider’s liability is unlimited in cases of intent and gross negligence. In cases of ordinary negligence, liability is limited to breach of a material contractual obligation and capped at the foreseeable, contract-typical damage.

(3) These limitations do not apply to damages resulting from injury to life, limb or health, to claims under the Product Liability Act, or to the extent of an expressly assumed guarantee.

§ 8 Data Protection

§ 9 Applicable Law and Place of Jurisdiction

(1) These GTC and all legal relationships between the Provider and the Customer are governed by the law of the Republic of Cyprus, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) With respect to consumers, this choice of law applies only to the extent that it does not restrict the mandatory statutory provisions of the consumer’s country of habitual residence.

(3) Where the Customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Limassol, Cyprus.

(4) The Provider is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

§ 10 Final Provisions

(1) Where the Customer provides the Provider with contact details, the Provider may use these to contact the Customer for contract-related purposes.

(2) Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected. Invalid provisions shall be replaced by applicable statutory provisions. (3) The contract language is German.
